The Head of Legal will oversee all legal aspects of the business, ensuring compliance with regulations and mitigating legal risks. This role requires strong expertise in managing legal frameworks, contracts, and providing strategic advice in the business services industry.

About Our Client

This is a growing organization within the B2C industry, known for its innovative solutions and professional approach. As a medium-sized company, it offers a collaborative and focused work environment in Bengaluru.

As the Head - Legal, you will serve as company's first legal leader, managing the entire legal, regulatory, compliance and IP framework for a high‑growth B2C travel brand.

This is an individual contributor (IC) role with direct visibility to both founders and requires someone who is polished, well‑spoken, agile, and enjoys operating in a fast‑moving startup environment.

Job Description

Key Responsibilities

1. Commercial Contracting (Top Priority)

  • Lead drafting, reviewing & negotiation of all commercial contracts including:
    • Licensing agreements
    • Third‑party manufacturing agreements
    • Royalty agreements
    • Brand collaborations & marketing partnerships
    • Vendor, supply chain, distribution, and retail contracts
  • Build standardized templates to support rapid scale‑up and protect brand/IP.



2. Licensing & Royalty Structuring

  • Manage all legal and compliance aspects of Escape Plan's licensing-led model, including long‑term exclusive brand licenses and category rights.
  • Ensure accurate royalty calculations, reporting & compliance with global brand partners from a legal standpoint.



3. Intellectual Property Management (Highly Preferred)

  • Manage all trademarks, brand registrations, oppositions, renewals & enforcement.
  • Identification and protection of proprietary design elements, product IP and brand assets.
  • Exposure to patents will be an advantage.



4. Fundraising & Corporate Transactions

  • Support investor due diligence, term sheets, SHA/SSA review & negotiation.
  • Ensure governance & compliance post-fundraising.
  • Work closely with founders and external counsel on investment rounds.



5. Governance, Compliance & Risk

  • Create compliance frameworks and internalSOPs for a consumer brand handling:
    • E‑commerce rules
    • Consumer protection laws
    • Legal Metrology
    • FSSAI (if applicable to accessories such as wellness/travel items)
    • Advertising standards
  • Ensure statutory compliance via close coordination with consultants.



6. Cross‑Functional Advisory

  • Work closely with product, sourcing, brand, ops, retail & finance teams.
  • Provide commercial and risk‑based legal advice supporting fast decision‑making.
  • Handle disputes, litigation, notices & regulatory queries with agility.

The Successful Applicant

Candidate Requirements

Must-Have

  • LLB degree.
  • Strong experience in commercial contracting (absolute must).
  • Ability to work independently as a single‑person legal function.
  • Excellent communication, articulation & stakeholder management.



Preferred

  • IP experience (trademarks/patents/licensing).
  • Exposure to fundraising/ investor documentation.
  • Experience in B2C consumer brands, D2C, lifestyle, fashion or travel categories.
  • Law firm candidates with strong contracts/IP background encouraged.
  • Startup experience
