The DGM Commercial Contract will be responsible for managing and overseeing all legal aspects of commercial contracts within the conglomerate space.This role requires a skilled professional with expertise in contract negotiation, drafting, and risk assessment and M&A.

Job Description

  • Draft, review, and negotiate commercial contracts to ensure compliance with legal requirements and company policies.
  • Provide legal advice and support to various departments on contract-related matters.
  • Identify and mitigate potential legal risks associated with commercial agreements.
  • Ensure all contracts align with the company's objectives and regulatory standards in the FMCG industry.



Mergers & Acquisitions

* Lead end-to-end legal management of M&A transactions including acquisitions, mergers, demergers, divestitures, and business transfers across sectors.

* Structure and negotiate transaction documents including term sheets, share purchase agreements (SPA), business transfer agreements (BTA), share subscription agreements (SSA), shareholders' agreements, and ancillary transaction documents.

* Conduct and legal due diligence coordinate with external counsel, review findings, assess risk, and advise senior management on deal structuring options.

Litigation & Dispute Resolution (Transaction Related)

* Manage disputes arising from M&A transactions, including breach of warranty claims, indemnity disputes, and arbitration proceedings.

The Successful Applicant

A successful DGM Commercial Contract should have:

  • A degree in Law from a recognized university.
  • Expertise in drafting, reviewing, and negotiating contracts.
