Job Description

  • Lead the end-to-end contract lifecycle, including drafting, reviewing, negotiating, and closing commercial agreements such as MSAs, PSAs, SOWs, NDAs, DPAs, licensing, partner, and vendor contracts.
  • Develop and standardize legal templates, clause libraries, negotiation playbooks, and fallback positions to improve contracting efficiency while mitigating legal risk.
  • Draft, review, and maintain product and platform policies, including Terms of Use, Privacy Policies, and data protection frameworks aligned with applicable regulations such as DPDP and GDPR.
  • Serve as a strategic legal advisor to leadership and business teams on commercial transactions, legal risks, intellectual property protection, data privacy, disputes, and regulatory matters.
  • Oversee corporate governance and compliance activities, including board and shareholder matters, statutory filings, secretarial functions, and regulatory requirements across multiple jurisdictions.
  • Support investor relations, fundraising transactions, due diligence processes, shareholder obligations, ESOP administration, and stakeholder approvals.
  • Establish and manage the legal operations function, including contract repositories, compliance trackers, legal MIS, external counsel coordination, team mentoring, and continuous process improvement.

The Successful Applicant

  • Demonstrated expertise in independently negotiating and closing complex enterprise agreements, coupled with strong contract drafting capabilities for commercial agreements, terms of use, privacy policies, and related legal documentation.
  • Strong understanding of corporate governance, regulatory compliance, data protection laws, and investment-related matters, with the ability to effectively oversee secretarial and compliance functions.
  • Commercially minded legal professional who balances risk mitigation with business objectives, providing practical and clear advice that enables informed decision-making and successful deal execution.
  • Highly organized, detail-oriented, and discreet in handling confidential board, investor, employee, and business matters, while maintaining accountability and ownership of the legal function.
  • Collaborative and adaptable leader with excellent communication skills, capable of working across cross-functional teams, managing external stakeholders, and continuously evolving with changes in legal, regulatory, data privacy, and technology landscapes.
