Job Description

  • Lead Board, Committee, and Shareholder Meeting processes, including preparation of agendas, resolutions, minutes, and post-meeting compliance activities.
  • Ensure compliance with the Companies Act, Secretarial Standards, and all applicable corporate laws, regulations, and governance requirements.
  • Manage secretarial compliances across multiple entities, including subsidiaries, associates, group companies, and overseas entities.
  • Liaise with regulatory authorities such as MCA, ROC, RBI, SEBI, Stock Exchanges, and other statutory bodies.
  • Drive preparation and filing of annual reports, statutory returns, forms, and maintenance of corporate records and registers.
  • Support and advise management on corporate governance matters, restructuring initiatives, shareholder matters, and strategic corporate actions.
  • Manage FEMA-related compliances, including capital account transactions and filings such as FC-GPR, FC-TRS, FLA, APR, and related regulatory submissions.
  • Partner with external advisors, auditors, and legal counsels on governance and compliance matters.
  • Develop and strengthen governance frameworks, compliance systems, and regulatory processes across the organization.
  • Provide advisory support to senior leadership on emerging regulatory developments, risks, and compliance requirements.

The Successful Applicant

  • Qualified Company Secretary (CS) is mandatory.
  • 16-20 years of experience in corporate secretarial and governance roles.
  • Prior exposure to energy, infrastructure, power, or similarly regulated sectors will be preferred.
  • Proven exposure to multi-entity structures, including subsidiaries and group companies.
  • Strong communication, stakeholder management, and organizational skills.
