Job Description

International Business & Market Expansion

  • Partner with business teams on international expansion strategies, market entry initiatives, joint ventures, strategic partnerships, and cross-border business projects.
  • Conduct legal due diligence and risk assessments for new geographies, business opportunities, distributors, agents, and strategic investments.
  • Advise stakeholders on legal, commercial, operational, and regulatory risks associated with international business transactions.
  • Develop pragmatic risk mitigation strategies while enabling commercial growth.



Commercial Contracting & Negotiations

  • Independently draft, review, negotiate, and conclude a broad range of international and domestic commercial agreements, including:
    • Customer agreements
    • Logistics and freight forwarding contracts
    • Supply chain and warehousing agreements
    • Procurement and vendor contracts
    • Service agreements
    • Distribution and agency agreements
    • Technology and SaaS agreements
    • Licensing arrangements
    • Strategic partnership agreements
    • Confidentiality and data-sharing agreements
  • Lead customer and vendor negotiations with minimal supervision while balancing legal protections and commercial objectives.
  • Support business teams in structuring transactions and contractual frameworks.



Logistics & Supply Chain Advisory

  • Provide legal support across multimodal logistics operations, including ocean freight, air freight, inland transportation, contract logistics, warehousing, customs brokerage, and supply chain solutions.
  • Draft and negotiate agreements with shipping lines, freight forwarders, carriers, terminal operators, warehouse operators, customs agents, and other logistics partners.
  • Advise on transportation liability, cargo claims, service disruptions, force majeure events, and supply chain risks.
  • Support operational teams on commercial and regulatory matters impacting logistics networks.



International Tenders & Strategic Projects

  • Provide end-to-end legal support for international tenders, government bids, institutional sales opportunities, and large strategic projects.
  • Participate in bid reviews, pre-bid meetings, contract negotiations, and clarifications with customers and tender authorities.
  • Review tender documentation and identify legal, financial, and compliance risks before bid submissions.



The Successful Applicant

· Strong expertise in contract review and negotiation.

· Ability to work independently and collaboratively with different departments in a large corporate set-up in a fast-paced environment.

· Good working knowledge of the fundamental legal provisions of commercial contracts, database management and Analytics of the same

· Excellent communication skills with a strong attention to detail.

· Knowledge of current and legally binding Commercial contractual language and terminology

· Clear adherence to company policies and procurement rules and regulations

· Good organization skills and the ability to multitask on several projects simultaneously

· Ability to work as a Team (internal & external customers)

· Interpersonal skills to build strong relationships with internal clients.

· Prior experience in logistics sector would be an added advantage;

· working with a reputed law firm and/or a large, diversified company with 9 - 13 years of experience in commercial contracts.

· Experience with legal workflow tools or contract lifecycle management (CLM) systems.

· Exposure to drafting Standard Operating Procedures (SOPs).

· Familiarity with compliance software and reporting tools.

· Experience in preparing monthly team MIS reports.

· Sectoral experience in Rail, Ports and Terminal, pharmaceuticals, chemicals, or manufacturing industries is a distinct advantage.

· Exposure to international contracts and cross-border legal issues.

· Ability to handle multiple priorities and meet deadlines.
