This leadership role is responsible for driving corporate governance, statutory compliance, board management, and regulatory affairs for a leading fintech organization. The position serves as a trusted advisor to senior management while ensuring compliance excellence and governance best practices.

The company provides end-to-end payment solutions across online, offline, and cross-border payment ecosystems and operates under relevant regulatory approvals within India's financial services sector.

Job Description

  • Lead corporate governance and advise senior leadership on governance matters.
  • Organize and manage Board, Committee, and Shareholder meetings.
  • Prepare agendas, resolutions, minutes, statutory registers, and governance documentation.
  • Ensure compliance with Companies Act, FEMA, RBI/SEBI regulations, and other applicable laws.
  • Manage statutory filings, disclosures, annual returns, and corporate records.
  • Liaise with regulators, auditors, legal advisors, and external stakeholders.
  • Support mergers, acquisitions, fundraising, restructuring, and other corporate actions.
  • Drive governance culture, risk mitigation, compliance audits, and policy management initiatives.

The Successful Applicant

We're looking for someone who has:

  • Qualified Company Secretary (ICSI Member).
  • Additional qualifications in Law, Finance, or Corporate Governance preferred.
  • 15+ years of post-qualification experience in corporate secretarial and governance functions.
  • Experience with fintech, financial services, listed entities, large corporates, or diversified business groups preferred.
  • Strong knowledge of Companies Act 2013, RBI/SEBI regulations, FEMA, Listing Obligations, and Secretarial Standards.
  • Demonstrated experience managing Board processes, governance frameworks, and regulatory compliance.
  • Strong stakeholder management, communication, analytical, and leadership skills.
  • High integrity, confidentiality, execution excell
