About Our Client

This opportunity is with a dynamic organization that supports early-stage startups across multiple geographies. The role involves managing the full lifecycle of Private Equity (PE) and Venture Capital (VC) investment transactions, along with overseeing key legal and regulatory functions.

Job Description

  • Transaction Management: Lead and execute PE/VC deals including structuring, due diligence, drafting and negotiating transaction documents (SHA, SSA, SPA, etc.), and closing support.
  • Regulatory Compliance: Ensure adherence to SEBI regulations for Category I Alternative Investment Funds, including filings, reporting, governance, and investor disclosures.
  • Contract Drafting & Negotiation: Handle a wide range of investment and commercial agreements such as shareholder agreements, JV agreements, SAAS agreements, IP licenses, MSAs, and proposals.
  • Stakeholder Collaboration: Work closely with internal teams, external counsel, investors, and portfolio companies to manage legal milestones and ongoing needs.
  • Fund Documentation: Support drafting and review of fund formation documents like PPMs, contribution agreements, and investor communications.
  • Legal Advisory: Provide guidance on Companies Act, FEMA, SEBI, and other relevant laws impacting investment and fund operations.



The Successful Applicant

  • LL.B. degree; additional qualifications like CS, LLM, or certifications in securities law are a plus.
  • 4-6 years of post-qualification experience in corporate law, preferably with exposure to PE/VC transactions.
  • Strong understanding of corporate, securities, and M&A law.
  • Proven drafting and negotiation skills.
  • Ability to manage multiple projects independently.
  • Prior interaction with regulatory bodies (SEBI, RBI) is advantageous.
  • Excellent communication and attention to detail.
