Job Description

As a Corporate Secretary, you will be responsible for overseeing and managing the corporate secretarial functions across multiple group entities. You will ensure compliance with statutory regulations, corporate governance best practices, and industry standards.

Key Responsibilities:

  • Corporate Secretarial Management: Oversee corporate secretarial functions for multiple group companies, ensuring timely and effective preparation of agendas, minutes, forms for Investment Managers, Trustees, and other group entities. Understanding of DRHP filings.
  • Statutory Compliance: Maintain and manage statutory registers and records as required under the Companies Act, 2013, ensuring compliance across all group entities.
  • Regulatory Compliance Monitoring: Keep a detailed list of all compliances arising from new regulations, circulars, or amendments (including SEBI AIF Regulations, SEBI Regulations for Intermediaries, Companies Act, etc.) and develop immediate action plans.
  • Tech Implementation for Compliance: Lead and implement technological solutions to improve efficiency and effectiveness in compliance and governance processes.
  • Training and Awareness: Assist in conducting regular training sessions for Directors, Employees, and other stakeholders on topics such as Corporate Social Responsibility (CSR), Prevention of Insider Trading (PIT) Obligations, Anti-Money Laundering (AML), Prevention of Sexual Harassment (POSH), and Whistleblower policies.
  • CSR Oversight: Oversee CSR expenditure programs, ensuring the annual action plan aligns with regulatory requirements and corporate goals, and ensuring compliance.
  • Shareholder Agreement Compliance: Monitor and ensure compliance with the terms of shareholder agreements across portfolio companies.
  • Policy Compliance: Ensure that all company policies are effectively implemented and complied with across all relevant departments and group entities.
  • Coordinating with external CS firms : Ensure to coordinate with CS firms

The Successful Applicant

Requirements:

  • Educational Qualification: Qualified Company Secretary (CS) with 6-8 years of experience in corporate governance and compliance.
  • Experience: Proven experience in managing corporate secretarial functions, with practical knowledge and experience of compliance under SEBI Regulations (PIT/LODR/AIF), RBI Master Directions for NBFC, FEMA, and the Companies Act 2013.
  • Expertise: In-depth understanding of Company Law, its application, Secretarial Standards, and other relevant laws under the Companies Act, 2013.
